We have an opening for a Senior Paralegal (Securities/Capital Markets).

The Senior Paralegal applies knowledge of the transactional lifecycle and its associated procedures to provide fundamental assistance to lawyers.

In this capacity, the Senior Paralegal will:

  • Perform work in an efficient and cost-effective manner so as to permit the Firm to reasonably collect fees for such work;
  • Meet expectations of billable hours target of 1,725 (unless otherwise specified);
  • Under the supervision of an attorney, coordinate, organize, prepare and interpret complex legal documents related to capital markets transactions and compliance matters;
  • Securities Offerings: Assist on both underwriter and issuer side transactions in the preparation and review of documents for public and private securities offerings, including prospectuses, offering memoranda, and private placement memoranda; coordinate with clients, underwriters, and other parties involved in the offering process; handle materials for filings with the SEC, FINRA, DTCC, NYSE, Nasdaq and other agencies, ensuring timely and accurate submissions; and assist in the preparation and filing of registration statements with regulatory authorities;
  • Transaction Support: Support attorneys in financial transactions, including assisting with the preparation and organization of closing documents and due diligence materials; preparing lockup agreements, D&O Questionnaires, and tracking responses; assisting in the preparation of launch, pricing, and closing documents; and managing the closing process;
  • Regulatory Compliance and Reporting: Assist attorneys with preparing and reviewing of Annual Reports on Form 10-K, Quarterly Reports on 10-Q, Current Reports on Form 8-K and Section 16 filings on Forms 3, 4 and 5, ensuring compliance with federal securities laws;
  • Corporate Governance: Assist attorneys with corporate governance matters, including drafting board resolutions, minutes and other basic corporate documentation;
  • Coordination: Manage logistics among internal and external stakeholders, including clients, external counsel, regulatory authorities, and the financial printer to facilitate smooth transactions and compliance processes;
  • Document Management: Manage and organize legal documents and transaction files using electronic document management systems, ensuring the accuracy and completeness of document indexes and file structures and distributing and managing closing sets;
  • Due Diligence: Assist with managing the due diligence process including, organizing, indexing and reviewing due diligence materials from electronic data rooms; provide a summary of points to facilitate associate review and assist with the preparation of backup requests and gathering and tracking of backup documentation;
  • Coordinate with other areas/departments of the Firm where overlap exists to develop efficient procedures/communications to streamline processes and satisfy various department needs;
  • Work overtime as required; and
  • Handle additional related projects as assigned.

Proficiencies:

  • Proficiency in MS Outlook and web-based conference call/web-sharing applications;
  • Proficiency in MS Word and document editing/comparison applications;
  • Proficiency in MS Excel and spreadsheet/database applications;
  • Proficiency in MS PowerPoint and presentation applications;
  • Expertise in regulatory compliance and capital markets transactions, including an understanding of the federal securities laws and Nasdaq and NYSE listing rules;
  • Advanced knowledge in corporate legal documentation, securities transaction and financial regulation;
  • Experience with the financial printer;
  • Effective communication and ability to handle multiple transactions and deadlines in dynamic environments;
  • Proficiency in online research and internet search resources (LexisNexis/Westlaw), as well as utilizing SimplyAgree, Litera, and other transactional software tools;
  • Experience with timekeeping and expense reporting applications; and
  • Knowledge of legal billing processes.

Qualifications:

  • At least 5 years of Paralegal experience (required);
  • At least 5 years of capital markets transactional experience (required);
  • Bachelor's Degree (preferred); and
  • ABA-approved Paralegal Certificate (preferred);

The salary wage range that we expect to pay for this position is a minimum of $100,900 and a maximum of $130,000 annually. The actual pay wage may vary based on experience or other relevant factors.
